Proposal to add new member of Board of Directors
We are proposing to add Mónica Aspe as an independent board member. Mónica Aspe is Chief Executive Officer of AT&T Mexico. Prior to joining AT&T, she served as Mexico´s Ambassador to the Organization for Economic Cooperation and Development (OECD). Previously, she was Mexico’s Undersecretary of Communications at the Ministry of Communications and Transportation.
Ms. Aspe also serves as a member of the board of Volaris and Sky Mexico. She holds a Masters from Columbia University and an undergraduate degree from Instituto Tecnológico Autónomo de México (ITAM), both in Political Science.
Proposal to amend by-laws
We are proposing to add the following activities as part of our Company’s by-laws:
- Melting and recycling of aluminum and aluminum scrap.
- Storage, handling and recycling of hazardous materials.
The purpose of this proposal is to obtain environmental permits from federal governmental authorities for our melting center operations, as applicable laws and regulations governing storage, handling, and recycling of hazardous materials require that these activities are expressly contemplated in our by-laws.The General Extraordinary Shareholders’ Meeting will take place on July 29, 2021 at 12:00 p.m. local time at Av. Gómez Morín 1111 sur, Colonia Carrizalejo, San Pedro Garza García, Nuevo León, 66254 México, with participation enabled via webcast as well as phone for the event.
